Terms of Trading

1. Scope and Definitions

These Terms of Trading (“Terms”) govern the sale and purchase of goods (“Goods”) supplied by Creamore Mill Limited (“Creamore”, “We”) to you, the customer (“Customer”). Any other arrangements or representations are superseded by these Terms.

2. Orders and Contracts

All orders must be placed in writing (including email, or the creamore.co.uk trade site) and confirmed by Creamore in writing. Orders are not binding on Creamore until accepted by them in writing. No variations to these Terms are valid unless agreed in writing by Creamore.

3. Prices and Payment

Prices are quoted in GBP and exclude VAT, which will be charged at the prevailing rate. Creamore may revise prices at any time without notice. For approved customers, a 30-day credit facility (“Credit Facility”) may be available. If granted, the Customer is responsible for paying the invoice within 30 days of the invoice date. Interest will be charged at 8% per annum on overdue Credit Facility accounts. Payment can be made by bank transfer. Creamore reserves the right to suspend or revoke the Credit Facility at any time without notice. All international deliveries are made on a pro-forma basis.

4. Delivery and Risk

Delivery dates are estimates only and Creamore accepts no liability for any delay in delivery.
Unless otherwise agreed, delivery will be made to the Customer’s address by Creamore’s chosen carrier.
Risk of loss or damage to Goods passes to the Customer upon delivery.
Carriage costs indicated at checkout apply to UK mainland deliveries, and any courier surcharges for other destinations will be confirmed by us after checkout, but before we despatch the order.
Tracking and carrier contact information will normally be sent by text or email. Where failed delivery attempts are made, it is essential that you contact Creamore or the carrier to confirm a re-delivery date within 3 working days to prevent the order being returned. Creamore reserves the right to charge costs for the return where the carrier has made reasonable attempt to deliver.

5. Title and Inspection

Title to Goods remains with Creamore until full payment is received.
Customer must inspect the Goods within 7 days of delivery and notify Creamore in writing of any defects or non-conformities. Failure to do so will constitute acceptance of the Goods.

6. Returns and Refunds

Goods may only be returned by the Customer with Creamore’s prior written consent.
Creamore reserves the right to refuse returns or charge a restocking fee.
Refunds will be processed at Creamore’s discretion and will not be made until the returned Goods have been received and inspected. The Customer is responsible for ensuring the goods are re-packaged effectively for a safe transit.

7. Guarantee and Liability

Creamore guarantees that the Goods will be of satisfactory quality and in accordance with Creamore’s specifications.
Creamore’s liability for any claim arising from the sale of Goods is limited to the invoice price of the Goods.
Creamore accepts no liability for consequential loss or damage of any kind.

8. Force Majeure

Creamore shall not be liable for any delay or failure to perform its obligations under these Terms due to any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, floods, fire, and earthquakes.

9. Intellectual Property

All intellectual property rights in the Goods and any related materials remain the property of Creamore Mill Limited. Images and content are free to be used by trade customers for the purpose of promoting Creamore Mill products only.

10. Confidentiality

The Customer agrees to keep confidential all trading information relating to Creamore’s business, products, and services not publicly available on our website.

11. Disputes

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the English courts.
The Customer agrees to waive any objection to the jurisdiction of the English courts. We can decide to claim against you in the English courts or the courts of the country you live in or where your company is registered.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between Creamore and the Customer with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Payments (UK)

Payments to be made by BACs (our bank information will be provided after checkout, or with your pro-forma invoice). Please contact us if you are unable to send payments by direct bank transfer.

Payments (International, pro-forma invoice)

Note: PLEASE INSTRUCT YOUR BANK OR FOREIGN EXCHANGE COMPANY TO PAY THE FULL INVOICE AMOUNT WITH ALL FEES AND CHARGES PAID

We recommend using Wise to reduce banking fees and delays. Please contact us for details, and an invite link will be sent with each pro-forma invoice.

Currency: GBP (only). Our IBAN and SWIFT information will be detailed on each pro-forma invoice.

Currency: EUR/USD. In the unlikely event of you not being able to setup a GBP payment, by request we can manually setup a payment link to alternative EUR and USD accounts.
